The Corporate Affairs team offers a unique working experience at the highest level within ING in a dynamic environment and a closely-knit team. In your role as Corporate Secretary to the Management Board (EB/MBB) you have the opportunity to experience "an MBA on the job" and develop yourself by viewing how ING operates at the heart of the organisation in a highly sensitive and confidential environment. You act as trusted advisor to the EB/MBB and together with the team you play an important role in supporting ING's corporate boards. Your direct colleagues are fellow corporate secretaries, a business consultant and board coordinators.
The team
Contributes to compliant, effective and efficient corporate governance by:
guiding high quality proposals to the corporate boards to ensure effective corporate decision making, facilitating well-prepared, efficient board meetings, adhering to applicable standards, laws and regulations, and using digital/tech solutions where possible. Provides adequate assurance, advice and support on board related content and process matters. Acts as gatekeeper and liaison between the corporate boards, the rest of the ING organisation and its stakeholders, such as regulatory and supervisory bodies.
Role and responsibilities
Approx 75% of role: Corporate Secretary to various corporate boards, with emphasis on the Management Board:
Pro-actively drive the organisation of the board meetings from beginning to end. This includes the drawing up of meeting agendas as well as quality review and timely distribution of board documents.
Produce high quality minutes including the capturing of board decisions and action points.
Manage actions in preparation of or which result from the board meetings by actively engaging with your stakeholders in a timely manner.
Prepare and manage the annual cycle planning of board meeting work and establish the collective MBB and SB programme of lifelong learning
Ensure that correct procedures are followed and that the corporate boards act in accordance with their statutory obligations as laid down in various documents such as the Articles of Association, the corporate board charters, the Governance Framework and the Decision Structure ING. Important sources in this respect are the Dutch Corporate Governance Code, the Dutch Banking Code and the EBA Guidelines on Internal Governance.
Being able to step-in for the Supervisory Board related meetings, if needed.
In addition, you will also engage in other activities for example one or more of the following:
Contributing to the Annual Report and / or the Annual General Meeting.
Managing updates made to the Decision Structure ING as well as preparing the annual update given to the Management Board and Supervisory Board.
Monitoring the collective boards' financials in view of the dynamic plan (budget-actuals-forecast) and act as financial approver for invoices.
Approx 25% of role: Optimising related processes and matters for the boards:
Contributing to ongoing process improvements and innovation initiatives within the team. This includes the reassessment of current procedures, automation of manual tasks, integration of existing and new systems, and developing one way of working across the team.

We are looking for a hands-on and enthusiastic addition to our team with a sense of humour and a passion for getting things done with:

Service oriented mindset, with the ability to work in a demanding environment. Knowledge of and experience with the ING organisation is an advantage.
An academic degree (master's degree).
Minimum of 6 years working experience. Experience within ING's corporate environment with affinity for board related matters and profound understanding of and affinity with corporate governance and legal matters related to the role and position is a plus.
Excellent skills in working with MS Office (Word, Excel, PowerPoint) and can also familiarise yourself quickly with other IT applications, such as iManage, Sherpany and SaySo.
Fluent in English, both spoken and in writing.
